Terms of Use

Thank you for using Hands.

These Terms of Use (“Terms”) govern your access to and use of Hands’ websites, applications, software, artificial intelligence tools, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Services.

Our Privacy Policy explains how we collect, use, and protect personal information. Although it does not form part of these Terms, it is an important document that you should review.

1. Who We Are

Hands is an AI company. Our mission is to intuitively understand human taste and build software that is useful for anyone that cooks.

2. Registration and Access

Minimum Age

You must be at least 13 years old, or the minimum age required in your country to consent to use the Services. If you are under 18 years old, you must have permission from a parent or legal guardian.

Registration

To use certain Services, you may be required to create an account. You agree to provide accurate and complete information and to keep that information current.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

If you create an account or use the Services on behalf of another individual or organization, you represent that you have the authority to accept these Terms on their behalf.

3. Using Our Services

What You Can Do

Subject to your compliance with these Terms, you may access and use the Services. You must comply with all applicable laws and any policies, guidelines, or documentation that Hands makes available.

What You Cannot Do

You may not:

• Use the Services for any unlawful, harmful, fraudulent, or abusive purpose.

• Infringe, misappropriate, or violate the rights of others.

• Modify, copy, lease, sell, sublicense, or distribute the Services.

• Reverse engineer, decompile, or attempt to discover source code, models, algorithms, or underlying systems, except where prohibited restrictions do not apply by law.

• Automatically extract data or Output from the Services.

• Misrepresent AI-generated Output as human-generated.

• Interfere with, disrupt, or circumvent security measures, rate limits, or safeguards.

• Use Output from the Services to develop competing AI models or services.

Software

Some Services may include downloadable software or mobile applications. Such software may update automatically to maintain security, functionality, and compatibility.

Certain portions of the Services may contain open-source software subject to separate licenses.

Corporate Domains

If you register using an email address owned by an organization, your account may be associated with that organization’s account. Once associated, authorized administrators may have the ability to manage your account, access Content, and restrict or remove access.

Third-Party Services

The Services may incorporate software, products, or services provided by third parties (“Third-Party Services”). Output generated through or incorporating Third-Party Services (“Third-Party Output”) is subject to the terms of those providers.

Hands is not responsible for Third-Party Services or Third-Party Output.

Feedback

Any feedback, suggestions, or ideas you provide may be used by Hands without restriction or compensation.

4. Content

Your Content

You may provide input to the Services (“Input”) and receive output generated by the Services (“Output”). Together, Input and Output are referred to as “Content.”

You are responsible for your Content and represent that you possess all necessary rights, permissions, and licenses required to provide Input.

Ownership

As between you and Hands:

• You retain ownership of your Input.

• You own the Output generated for you.

To the extent Hands possesses any rights in Output, Hands assigns those rights to you.

Similarity of Content

Because artificial intelligence systems may generate similar results for multiple users, Output may not be unique. Other users may receive identical or similar Output.

Your ownership rights do not extend to Output generated for other users or to Third-Party Output.

Our Use of Content

Hands may use Content to:

• Provide and operate the Services.

• Maintain and improve the Services.

• Develop new products and features.

• Comply with legal obligations.

• Enforce these Terms.

• Protect users and the Services.

Opt-Out

Where available, you may choose not to allow your Content to be used for model training or improvement by following instructions provided within the Services or Help Center.

Certain features may function differently if you opt out.

5. Accuracy and AI Limitations

Artificial intelligence is an evolving technology. While Hands works to improve the reliability and usefulness of the Services, Output may be inaccurate, incomplete, misleading, or inappropriate.

By using the Services, you acknowledge and agree that:

• Output may contain errors.

• Output should not be relied upon as a sole source of truth.

• Output is not a substitute for professional advice.

• You are responsible for evaluating Output before relying on or sharing it.

• Human review may be necessary depending on your use case.

• Output may not accurately reflect real people, places, events, or facts.

You may not use Output relating to an individual to make decisions regarding employment, housing, education, credit, insurance, healthcare, legal matters, or other similarly significant decisions.

Views expressed in Output do not represent the views of Hands.

References to third-party products or services do not imply endorsement or affiliation.

6. Intellectual Property

Hands and its licensors own all rights, title, and interest in the Services, including the software, models, designs, branding, and underlying technology.

Except as expressly permitted by these Terms, no rights are granted to you.

You may only use Hands’ trademarks, branding, and logos in accordance with any published brand guidelines.

7. Paid Services

Billing

If you purchase a subscription or paid Service, you must provide accurate billing information and a valid payment method.

Subscriptions automatically renew unless cancelled before renewal.

You are responsible for applicable taxes.

If payment fails, Hands may suspend or downgrade your access until payment is received.

Service Credits

Certain Services may be purchased using prepaid service credits. Service credits are governed by any applicable Service Credit Terms.

Cancellation

You may cancel a paid subscription at any time.

Except where required by law, payments are non-refundable.

Price Changes

Hands may modify pricing from time to time. Material subscription price increases will be communicated at least 30 days before taking effect.

8. Suspension and Termination

You may stop using the Services at any time.

Hands may suspend, restrict, or terminate access if:

• You violate these Terms or applicable policies.

• We are required to do so by law.

• Your use presents risk or harm to Hands, users, or third parties.

Hands may also terminate inactive accounts after twelve months of inactivity, provided reasonable notice is given where practical.

You may appeal a suspension or termination by contacting our support team.

9. Discontinuation of Services

Hands may discontinue, modify, or retire any Service at any time.

If a paid Service is discontinued, Hands will provide reasonable notice and may provide refunds for prepaid unused portions where applicable.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANDS AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

HANDS DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY ACCURATE.

ANY USE OF OUTPUT IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

HANDS’ TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

• THE AMOUNT PAID BY YOU FOR THE RELEVANT SERVICE DURING THE TWELVE MONTHS PRECEDING THE CLAIM; OR

• USD $100.

Certain jurisdictions may not permit some limitations contained in this section. In such cases, these limitations apply only to the extent permitted by law.

12. Indemnification

If you are using the Services on behalf of a business or organization, you agree to indemnify and hold harmless Hands, its affiliates, employees, contractors, and agents from claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Services.

• Your Content.

• Your violation of these Terms.

• Your violation of applicable laws or third-party rights.

13. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally.

If a dispute cannot be resolved informally within sixty (60) days, it may be submitted to binding arbitration, except where prohibited by law.

Nothing in this section prevents either party from seeking relief in small claims court or seeking injunctive relief to protect intellectual property rights.

Any arbitration shall be conducted on an individual basis. Class actions, representative actions, and class arbitrations are not permitted.

Both parties waive any right to a jury trial to the fullest extent permitted by law.

14. Copyright Complaints

If you believe that content on the Services infringes your copyright or other intellectual property rights, please contact:

Your notice should include:

• Your signature.

• Identification of the copyrighted work.

• Identification of the allegedly infringing material.

• Your contact information.

• A statement of good-faith belief that the use is unauthorized.

• A statement that the information provided is accurate and that you are authorized to act on behalf of the rights holder.

15. General Terms

Assignment

You may not transfer or assign your rights under these Terms without written permission from Hands.

Hands may assign its rights and obligations without restriction.

Changes to the Services or Terms

Hands may modify these Terms or the Services at any time.

For material changes, Hands will provide at least 30 days’ advance notice when reasonably possible.

Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

Waiver

Failure to enforce any provision of these Terms is not a waiver of future enforcement.

Severability

If any provision is held unenforceable, the remaining provisions remain in effect.

Trade Controls

You agree to comply with all applicable export, sanctions, and trade laws.

You may not use the Services in violation of applicable trade restrictions.

Entire Agreement

These Terms constitute the complete agreement between you and Hands regarding the Services and supersede all prior agreements relating to the Services.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Except where arbitration applies, all disputes shall be brought exclusively before the courts located in Toronto, Ontario, Canada.
